End-User License Agreement (EULA)

This End-User License Agreement (“Agreement”) is a legal agreement between you (“Licensee” or “You”) and GraffitiSuite Solutions (“Licensor,” “We,” or “Us”) for the GraffitiSuite software components, libraries, controls, and associated materials (“Software”).

By downloading, installing, accessing license keys for, or using GraffitiSuite or any of its available software packages, You agree to be bound by the terms of this Agreement.

1. Payment Processing & Merchants of Record

Our order processing and software licensing transactions are conducted through third-party payment processors and online resellers, including PayPal, Paddle, Stripe, and/or FastSpring. Depending on the purchase channel used, the designated payment processor or reseller acts as the Merchant of Record for your GraffitiSuite transaction. The applicable Merchant of Record or payment processor handles payment processing, billing, tax collection, and related customer service inquiries for your order.

2. License Grant (Licensed, Not Sold)

The Software is licensed, not sold. GraffitiSuite provides developer tools and library controls for Xojo across Desktop, Mobile, and Web platforms. Subject to your full compliance with this Agreement and payment of applicable license fees, Licensor grants You a revocable, non-exclusive, non-transferable, limited license to:

  • Download, install, and integrate the Software into your own Xojo applications (Desktop, Mobile, and Web).

  • Distribute the Software strictly in compiled, binary form as an embedded component of your compiled Xojo applications to your end users.

3. License Keys & Activation

Access to and full functionality of the Software requires valid license keys issued by Licensor or its authorized partners. You agree to activate and maintain valid license key credentials as instructed by Licensor.

4. Restrictions on Use

You shall not, directly or indirectly:

  • Sublicense, sell, rent, lease, assign, publish, host, or otherwise transfer your license keys, source files, uncompiled components, or rights under this Agreement to any third party.

  • Distribute GraffitiSuite as a standalone library, wrapper, framework, control set, or developer tool, or in any manner that enables third parties to build applications using GraffitiSuite components without purchasing their own license.

  • Reverse engineer, decompile, disassemble, decrypt, or attempt to derive the source code or underlying architecture of the Software.

  • Modify, adapt, translate, or create derivative developer tools or competitor products based upon the Software.

5. Confidentiality & Account Security

You acknowledge that license keys, activation credentials, source code, trade secrets, and proprietary documentation provided by GraffitiSuite Solutions constitute confidential information.

You agree to maintain the strict confidentiality of your license keys and account credentials. You are solely responsible for preventing unauthorized access to or disclosure of your license keys. Any unauthorized distribution, leak, or public posting of a license key will result in immediate cancellation of the license without refund and may subject You to legal liability for damages.

6. Trial & Demo Limitations

GraffitiSuite may offer trial, evaluation, or demo versions. Unlicensed or trial installations may feature temporary evaluation periods, functional restrictions, watermark displays, or disabled features until a valid, paid license key is applied.

7. Export Controls and Sanctions Compliance

You agree to comply with all applicable import, export, re-export, and economic sanctions laws and regulations, including but not limited to the Export Administration Regulations (EAR) maintained by the U.S. Department of Commerce and trade/economic sanctions maintained by the U.S. Department of the Treasury’s Office of Foreign Assets Control (OFAC).

By downloading, installing, or using the Software, You represent and warrant that:

  • You are not located in, under the control of, or a national or resident of any embargoed or sanctioned country or territory.

  • You are not listed on any U.S. Government list of prohibited or restricted parties, including OFAC’s Specially Designated Nationals (SDN) List or the Entity List.

  • You will not use the Software for any purpose prohibited by U.S. or international law.

  • You assume sole legal responsibility and liability for ensuring that your acquisition, export, re-export, or use of GraffitiSuite fully complies with all applicable foreign and domestic export control laws and sanctions rules.

8. Termination

This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically without notice from GraffitiSuite Solutions if you fail to comply with any of its terms or conditions. Upon termination for any reason:

  • All license rights granted under this Agreement shall immediately cease.

  • You must immediately cease all development using GraffitiSuite.

  • You must immediately destroy, delete, or uninstall all full or partial copies of the Software, along with all associated media, source code, license keys, and documentation in your possession or control.

9. Disclaimer of Warranties (“As-Is”)

To the maximum extent permitted by applicable law, the software is provided “as is” and “as available,” with all faults and without warranty of any kind. GraffitiSuite Solutions expressly disclaims all warranties, express, implied, or statutory, including but not limited to implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the maximum extent permitted by law, in no event shall GraffitiSuite Solutions, its affiliates, or suppliers be liable for any special, incidental, indirect, punishable, or consequential damages whatsoever (including damages for loss of profits, business interruption, loss of data, or any other pecuniary loss) arising out of the use of or inability to use the software.

In any case, the entire and aggregate liability of GraffitiSuite Solutions under any provision of this agreement shall be limited to the actual amount paid by you for the license to the software, or $10.00 USD, whichever is greater.

11. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law principles. Any legal suit, action, or proceeding arising out of or related to this Agreement or the Software shall be instituted exclusively in the United States District Court for the Eastern District of Tennessee located in Greeneville, TN (or the appropriate state court sitting in the same jurisdiction), and each party irrevocably submits to the exclusive jurisdiction of such courts. to be
